Terms of Service

These Terms now cover our complete Seller Operating System — AI platform tools, managed ecommerce services, reconciliation, PPC, reviews, and all associated services operated by INSTYLE

Welcome to Ecom Assistance®, operated by INSTYLE ("Company", "we", "us", "our"). By accessing our website at ecomassistance.com, using our AI-powered seller platform at app.ecomassistance.com, or engaging our managed ecommerce services, you agree to be bound by these Terms of Service.

These Terms apply to all users — platform subscribers, managed service clients, and website visitors. If you do not agree with any part of these Terms, you must discontinue use of our Services.

🛠️Use of Service

Ecom Assistance® provides two categories of services:

AI-Powered Platform (SaaS)

  • Automated Amazon review requests via the official Amazon Solicitations API
  • AI-powered P&L reporting, payment reconciliation, and settlement analysis
  • Listing health monitoring, suppressed listing alerts, and catalog management tools
  • PPC analytics and advertising performance dashboards
  • COGS tracking, inventory planning, and multi-account management

Managed Ecommerce Services

  • Full-service account management on Amazon, Flipkart, Meesho, JioMart, and other marketplaces
  • Listing creation, optimisation, A+ content, and Brand Store management
  • PPC campaign management and advertising strategy
  • Account health monitoring, policy compliance, and issue resolution
  • Registration services including APOB, VPOB, and FSSAI for ecommerce warehouses
  • Amazon seller account reinstatement and Plan of Action (POA) services
ℹ️

You must be a registered business entity or authorized Amazon/marketplace seller to use our Services. You are responsible for ensuring your use of our platform complies with all applicable marketplace policies and Indian laws.

👤Account Registration

To access the AI platform, you must create an account using accurate, complete information. You agree to:

  • Provide your real business name, GSTIN (if applicable), and contact information
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately at info@ecomassistance.com if you suspect unauthorised access
  • Accept responsibility for all activity that occurs under your account
  • Not share account access with individuals outside your organisation without our prior consent

We reserve the right to verify your identity and business details before activating your account or processing managed service onboarding.

🔗Amazon SP-API Authorization

When you connect your Amazon seller account to our platform via Amazon's Selling Partner API (SP-API) OAuth flow, you explicitly authorise us to:

  • Access your order data, ASINs, delivery dates, and marketplace information
  • Send review and feedback requests to eligible buyers on your behalf via the official Amazon Solicitations API
  • Retrieve listing data, inventory levels, and advertising performance data
  • Access settlement reports and financial data for reconciliation purposes
  • Perform catalog actions such as listing updates (only with your explicit approval)

Your data security is our priority. All API access tokens are encrypted and stored securely. We never share, sell, or transfer your Amazon seller data to third parties except as required to operate the Service (AWS hosting, email delivery). You may revoke our API access at any time from Amazon Seller Central → Apps & Services → Manage Your Apps.

Our API access complies with Amazon's Developer Agreement and all applicable marketplace policies. Our application is registered under the Ecom Assistance® developer account (App ID: amzn1.sp.solution.0009fa19-33a0-4f1a-815e-c05e8ddfa126).

💳Subscription & Payments

AI Platform Subscriptions

Managed Service Payments

Managed service fees are billed monthly in advance. Brand Starter: ₹15,000/month ($199) + GST. Brand Growth: ₹25,000/month ($349) + GST. Custom enterprise plans are invoiced as per agreement. Failure to make timely payment may result in suspension of managed services with 7 days prior notice.

We do not store credit card or bank account details. All payment information is handled exclusively by Razorpay under their security standards. For payment disputes, contact info@ecomassistance.com within 7 days of the charge.

🎁Free Trial

New platform accounts receive a 14-day free trial with full Pro plan features. The following conditions apply:

  • No credit card or payment information required to start the trial
  • Full access to all Pro tier features including review automation, P&L dashboard, and reconciliation tools
  • At the end of the trial period, you must select a paid plan to continue accessing the Service
  • Data, configurations, and connected seller accounts are preserved during the transition to a paid plan
  • We reserve the right to modify or discontinue free trials at any time with reasonable notice
  • Trial accounts found to be misusing the Service (creating multiple accounts for repeated trials, abuse of review automation) will be permanently banned

🤝Managed Services Terms

For brands on our managed service plans (Brand Starter and Brand Growth), the following additional terms apply:

Scope of Work

The scope of managed services is defined during onboarding and may be updated by mutual written agreement. We will perform services as a professional agency acting on your behalf within the scope agreed. We are not employees or partners of your business.

Client Responsibilities

  • Provide timely access to seller account credentials, brand assets, and product information
  • Respond to requests for information, approval, or feedback within 48 business hours
  • Provide accurate COGS data when requested for P&L and reconciliation reporting
  • Inform us of any changes to your business, products, or marketplace policies that may affect our management
  • Not grant simultaneous access to competing agencies without prior disclosure

Performance & Results

While we employ best-practice strategies and Amazon ATES-certified expertise, we do not guarantee specific sales results, ranking positions, or advertising performance metrics. Marketplace algorithms and competitive factors are outside our control. All performance projections are estimates based on historical data.

Cancellation — Managed Services

You may cancel managed services with 30 days written notice via email to info@ecomassistance.com. During the notice period, services will continue normally. Outstanding invoices must be settled before account handover. We will provide a full account handover package including access credentials, reports, and campaign history.

🚫Prohibited Use

You may not use our Services to:

  • Send review requests outside Amazon's permitted solicitation window (within 4–30 days of delivery)
  • Incentivise, manipulate, or solicit fake reviews in violation of Amazon's Community Guidelines
  • Violate any applicable marketplace policies, including Amazon's Seller Code of Conduct
  • Access another seller's account without their explicit authorisation
  • Reverse engineer, scrape, or replicate any part of our platform or proprietary tools
  • Use the platform for any unlawful purpose under Indian law or the laws of the user's jurisdiction
  • Attempt to circumvent security measures, access controls, or rate limits
  • Upload malicious code, interfere with the platform's infrastructure, or conduct denial-of-service attacks
  • Resell, sublicense, or commercially redistribute our tools without written permission
⚠️

Violation of Amazon's review policies using our platform is your sole responsibility. We are not liable for account suspensions, listing removals, or penalties arising from your misuse of the review automation feature. Our system enforces Amazon BSA compliance — any override of these controls is a breach of these Terms.

©️Intellectual Property

All elements of the Ecom Assistance® platform — including but not limited to the AI algorithms, dashboard interface, reconciliation engine, review automation logic, report templates, and the Ecom Assistance® brand — are the exclusive intellectual property of INSTYLE

  • You receive a limited, non-exclusive, non-transferable licence to use the platform during your active subscription period
  • Your seller data, business data, and content remain your property at all times
  • You grant us a limited licence to process your data solely to provide the Services described in these Terms
  • The Ecom Assistance® trademark and logo may not be used without written permission
  • Any feedback, suggestions, or feature requests you provide may be used to improve our Services without compensation

⚖️Limitation of Liability

To the maximum extent permitted under Indian law:

  • The Company shall not be liable for indirect, incidental, consequential, special, or punitive damages of any kind
  • This includes lost profits, lost revenue, lost sales, lost data, loss of goodwill, or marketplace penalties
  • Our total aggregate liability for any claim shall not exceed the total amount paid by you in the 3 months preceding the claim
  • We are not responsible for platform downtime caused by Amazon API outages, AWS infrastructure issues, or third-party service failures beyond our control
  • Managed service performance is provided on a best-efforts basis — we are not liable for fluctuations in sales, BSR rankings, or advertising performance caused by marketplace algorithm changes
ℹ️

Some jurisdictions do not allow exclusion of certain warranties or limitations of liability. In such cases, our liability is limited to the maximum extent permitted by applicable law.

🛡️Indemnification

You agree to indemnify, defend, and hold harmless INSTYLE, its directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your violation of these Terms of Service
  • Your violation of any applicable law or regulation, including marketplace policies
  • Your use of the Services in a manner that infringes third-party rights
  • Any content you submit, upload, or transmit through our platform
  • Any misuse of the review automation or SP-API features

🔚Termination

Termination by You

You may cancel your platform subscription at any time from account settings. Managed services require 30 days written notice. No refunds are issued for the current billing period upon cancellation.

Termination by Us

We may suspend or terminate your account immediately and without refund if you:

  • Violate any provision of these Terms
  • Engage in fraudulent, abusive, or illegal activity
  • Fail to pay outstanding subscription or service fees after 7 days notice
  • Use the platform in a way that damages our reputation, infrastructure, or other users

Upon Termination

Your access to the platform will be disabled. We will retain your data for 90 days post-termination to allow data export, after which it will be permanently deleted. For managed services, a full account handover package will be provided within 14 business days of the final service date.

🏛️Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India.

Before initiating legal proceedings, you agree to attempt resolution through informal negotiation by contacting us at info@ecomassistance.com. Both parties agree to good-faith efforts to resolve disputes within 30 days of written notice.

📝Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Send an email notification to all active account holders at least 14 days before changes take effect
  • Display a notice in the platform dashboard for platform subscribers
  • Contact managed service clients directly via WhatsApp for significant service-affecting changes

Continued use of our Services after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must discontinue using the Services before the effective date.
